Flowlex Terms of Use
Last updated: June 24, 2026 Effective date: June 24, 2026
These Terms of Use (the "Terms") form a binding legal agreement between you ("you", "your", or "User") and Flowlex ("we", "us", or "our"), governing your access to and use of the Flowlex mobile application, website at https://flowlex.com, and any related software, content, and services we make available (collectively, the "Service").
PLEASE READ THESE TERMS CAREFULLY. They contain important information about your legal rights, including disclaimers of warranties, a binding limitation of liability, an assumption-of-risk acknowledgment specific to cryptocurrency and decentralized finance, and a dispute-resolution provision. By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms and Eligibility
1.1 Acceptance
By downloading, installing, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not access or use the Service.
1.2 Eligibility
To use the Service, you represent and warrant that you:
- (a) are at least 18 years old (or the age of majority and legal capacity to enter into a binding contract in your jurisdiction, whichever is greater);
- (b) have the full legal capacity and authority to enter into and comply with these Terms;
- (c) are not a person or entity that is the subject of any sanctions, restrictions, or embargoes administered or enforced by any government, including (without limitation) those administered by the U.S. Office of Foreign Assets Control (OFAC), the United Nations, the European Union, the United Kingdom, or any other applicable authority (a "Prohibited Person");
- (d) are not located, organized, or resident in any country or territory that is the target of comprehensive sanctions or embargoes, and are not accessing the Service on behalf of any such person or from any such location; and
- (e) are not otherwise barred from using the Service under any applicable law.
1.3 Your Responsibility for Local Law
Cryptocurrency and decentralized finance ("DeFi") activities are regulated, restricted, or prohibited in some jurisdictions. You are solely responsible for determining whether your use of the Service is lawful where you are located and for complying with all laws, rules, and regulations that apply to you, including securities, commodities, tax, anti-money-laundering, and consumer-protection laws. We may restrict or deny access to the Service from any jurisdiction at our discretion.
2. Description of the Service
2.1 What Flowlex Is
Flowlex is a non-custodial software interface that helps you interact with third-party, decentralized protocols deployed on the Base mainnet blockchain and other supported blockchains. Through the Service, you can, among other things:
- open, view, and manage Uniswap V3 liquidity-provider ("LP") positions;
- use an automated rebalancing feature (the "Auto Vault");
- bridge funds across supported blockchains (via the third-party Relay bridge);
- claim fees accrued by your positions; and
- participate in our referral program.
The Service also provides estimates, charts, range calculators, and other informational tools to help you evaluate potential actions.
2.2 What Flowlex Is Not
Flowlex is a tool and interface only. Flowlex is not a bank, broker-dealer, securities exchange, cryptocurrency exchange, custodian, wallet provider, money services business, money transmitter, payment processor, fund, or investment adviser, and it does not provide any financial, investment, legal, accounting, or tax advice. We do not solicit, offer, or recommend any investment, transaction, or strategy.
2.3 Flowlex Is Not a Party to On-Chain Transactions
All blockchain transactions you initiate through the Service are executed directly between your wallet and the relevant third-party smart contracts and blockchain networks. Flowlex is not a counterparty to, intermediary in, or guarantor of any such transaction. We do not take the other side of your trades, hold your funds, or control the underlying protocols. The Service merely helps you construct, review, and broadcast transactions that you authorize and sign yourself.
3. No Financial, Investment, or Other Professional Advice
Nothing in the Service constitutes financial, investment, trading, legal, accounting, tax, or other professional advice, and nothing in the Service should be construed as a recommendation, solicitation, or offer to buy, sell, or hold any asset or to enter into any transaction.
- Any annual percentage yields ("APYs"), annual percentage rates, projected returns, fee estimates, price ranges, position previews, calculator outputs, charts, analytics, and similar information presented in the Service are estimates and illustrations only. They are based on assumptions and third-party data that may be incomplete, delayed, or inaccurate, and they are not guarantees of any outcome.
- Past performance is not indicative of, and does not guarantee, future results.
- Market conditions, on-chain data, fees, and protocol parameters can change rapidly and without notice.
- You are solely responsible for evaluating the merits and risks of any action you take through the Service. You make your own decisions. Before acting, you should conduct your own research and consult your own independent financial, legal, and tax advisers.
4. Assumption of Risk
By using the Service, you acknowledge, understand, and accept the following risks. This list is not exhaustive. Cryptocurrency, DeFi, and LP activities are highly risky and may not be suitable for you. You could lose some or all of the assets you commit, and you should not commit assets you cannot afford to lose.
- (a) Volatility and total loss of capital. Digital asset prices are extremely volatile and can move sharply in any direction. The value of your assets and positions may decline significantly or to zero. You may lose the entire value of your capital.
- (b) Impermanent loss. Providing liquidity in a Uniswap V3 LP position exposes you to impermanent loss — a divergence in value compared to simply holding the underlying assets, caused by relative price movements between the paired assets. Concentrated liquidity positions can amplify this effect, and you may end up with substantially less value than you contributed, even after fees.
- (c) Smart-contract risk. The smart contracts you interact with (including Uniswap V3 contracts, bridge contracts, and any Flowlex-related contracts) may contain bugs, vulnerabilities, or design flaws and may be exploited, hacked, or fail. Such events can result in the partial or total loss of your assets, and such losses may be irreversible.
- (d) Bridge risk. Moving assets across blockchains through a bridge (including the third-party Relay bridge) involves additional smart-contract, liquidity, timing, and counterparty risks. Bridged transactions may be delayed, may fail, or may result in loss of funds.
- (e) Transaction and gas risk. Blockchain transactions are irreversible once confirmed. Transactions may fail, revert, be delayed, or be reordered (including through "MEV" / front-running). You may incur network ("gas") fees even for failed transactions. Slippage, stale quotes, or network congestion may cause an outcome different from what you expected.
- (f) Protocol, oracle, and keeper risk (Auto Vault). The Auto Vault relies on automated logic and on third-party data sources, price oracles, and off-chain "keeper" processes to trigger rebalancing. These may fail, be delayed, be manipulated, behave unexpectedly, or execute at unfavorable times or prices. Automated rebalancing may lock in losses, increase costs, or fail to act when you expect.
- (g) Loss of keys = permanent loss of funds. Your assets are controlled by cryptographic keys. If you lose access to your wallet, keys, recovery credentials, or device — or if they are stolen — your funds may be permanently and irretrievably lost. Flowlex cannot recover them for you.
- (h) Regulatory risk. The legal and regulatory treatment of digital assets and DeFi is uncertain and evolving. Future laws, regulations, or enforcement actions could adversely affect the Service, the underlying protocols, or your assets, including by restricting access or imposing obligations on you.
- (i) No insurance. Digital assets and DeFi positions are not bank deposits and are not insured or guaranteed by the U.S. Federal Deposit Insurance Corporation (FDIC), the Securities Investor Protection Corporation (SIPC), or any other government, agency, or private insurer. If your assets are lost, there is no guarantee fund to make you whole.
- (j) Third-party dependency risk. The Service depends on third-party infrastructure and protocols (see Section 9). Failures, outages, or changes in those third parties may impair or interrupt the Service or your ability to access your assets.
You expressly assume all of the foregoing risks and agree that Flowlex is not liable for any resulting losses, to the maximum extent permitted by applicable law.
5. Wallets and the Non-Custodial Nature of the Service
5.1 You Control Your Wallet and Funds
The Service is non-custodial. Flowlex never holds, controls, takes possession of, or has access to your private keys, recovery phrases, or funds. Every transaction is initiated and cryptographically signed by your own wallet under your sole control. We cannot move, freeze, reverse, cancel, or recover your funds or transactions.
5.2 Wallet Options
To use the Service, you connect a self-custodial wallet. Depending on how you sign in:
- (a) Embedded wallet + smart account. If you sign in with email, Google, or Apple, an embedded wallet and an associated Safe smart account (using account-abstraction technology) are provisioned for you through our third-party provider, Privy. You remain in control of and responsible for this wallet and smart account. You are responsible for exporting and securely backing up the keys to your embedded wallet. If you do not back them up and you lose access, your funds may be permanently lost, and Flowlex cannot recover them.
- (b) External wallet. You may instead connect your own external, self-custodial wallet (for example, via WalletConnect / Reown). You are solely responsible for that wallet and its keys.
5.3 Gas Sponsorship
In some cases, network ("gas") fees for certain transactions may be sponsored through a third-party account-abstraction provider (Pimlico). Gas sponsorship is provided at our and the provider's discretion, may be limited, conditioned, or withdrawn at any time, and is not guaranteed. You remain responsible for any fees that are not sponsored.
5.4 Your Sole Responsibility
You are solely responsible for: securing your device, wallet, keys, recovery credentials, and sign-in methods; all activity that occurs through your wallet; verifying transaction details before signing; and any consequences of transactions you authorize. Flowlex has no ability to act on your behalf, intervene in, or undo any transaction.
6. User Responsibilities and Acceptable Use
You agree that you will not, and will not attempt to or permit others to:
- (a) use the Service for any unlawful, fraudulent, or unauthorized purpose, or in violation of any applicable law or regulation;
- (b) use the Service to engage in, facilitate, or conceal money laundering, terrorist financing, sanctions evasion, tax evasion, or any other illicit finance, or to transact with any Prohibited Person or sanctioned jurisdiction;
- (c) use the Service if you are a Prohibited Person or are located in an embargoed or comprehensively sanctioned jurisdiction;
- (d) provide false, inaccurate, or misleading information, or impersonate any person or entity;
- (e) interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service, its infrastructure, or any connected systems, networks, or smart contracts;
- (f) exploit, attack, reverse-engineer (except to the limited extent permitted by applicable law), decompile, probe for vulnerabilities, deploy bots or scrapers against, or otherwise misuse the Service or attempt to extract value through unintended behavior, bugs, or manipulation;
- (g) introduce any malware, virus, or harmful code, or use the Service to harm Flowlex, other users, or any third party;
- (h) circumvent any access controls, rate limits, geographic restrictions, or security measures; or
- (i) infringe the intellectual property or other rights of Flowlex or any third party.
You are solely responsible for determining and fulfilling any tax obligations arising from your use of the Service, including any gains, income, or other taxable events. Flowlex does not provide tax advice or tax reporting and is not responsible for your tax compliance.
We may investigate and take appropriate action against any suspected violation of this Section, including suspending or terminating your access (see Section 13).
7. Fees
7.1 Flowlex Fees
Flowlex may charge fees in connection with certain actions facilitated through the Service (for example, protocol or commission fees expressed as a percentage of an amount). The fees currently applicable to a given action are displayed in the Service before you confirm that action. By confirming an action, you agree to the fees shown for it.
7.2 Third-Party Costs
Your use of the Service will also generally involve third-party costs that Flowlex does not set or receive, including blockchain network ("gas") fees, bridge fees, swap fees, slippage, and protocol fees charged by the underlying protocols. These costs are separate from any Flowlex fee and are your responsibility, except where a fee is expressly sponsored (see Section 5.3).
7.3 Changes to Fees
We may change our fees at any time. We will make current fees available in the Service. Continued use of the Service after a fee change takes effect constitutes your acceptance of the updated fees. Fees are generally non-refundable, except as required by applicable law.
8. Referral Program
8.1 Participation
We may offer a referral program that allows eligible Users to earn rewards for referring new Users or otherwise participating, subject to any additional rules or eligibility criteria we publish. By participating, you agree to those rules and to these Terms.
8.2 No Guarantee; Changes
Participation in, and any rewards under, the referral program are discretionary and not guaranteed. We may modify, suspend, limit, recalculate, or discontinue the referral program (or any reward) at any time, with or without notice, to the extent permitted by law. Rewards have no cash value except as expressly stated and may be subject to applicable taxes for which you are responsible.
8.3 Anti-Abuse
You may not abuse, manipulate, or game the referral program, including by creating fake or duplicate accounts, self-referring, using bots, misrepresenting the Service, or engaging in spam or deceptive promotion. We may withhold, revoke, or reverse rewards and disqualify Users we reasonably determine to have engaged in such conduct.
9. Third-Party Services and Protocols
The Service relies on, links to, or integrates with third-party services, software, infrastructure, and decentralized protocols that are not operated or controlled by Flowlex, including (without limitation):
- Privy (authentication and embedded-wallet provisioning);
- Pimlico (account-abstraction bundler / paymaster / gas sponsorship);
- Reown / WalletConnect (external-wallet connectivity);
- Relay (cross-chain bridging);
- Uniswap V3 (liquidity / swap protocol smart contracts); and
- the underlying blockchains (including Base mainnet) and their validators, nodes, RPC providers, and related infrastructure.
These third parties operate independently and under their own terms and policies. Flowlex does not control, endorse, guarantee, or assume responsibility for any third-party service, protocol, smart contract, or blockchain, or for any act, omission, failure, outage, exploit, fee, or change made by them. Your use of any third-party service may be subject to that third party's own terms and privacy practices, which you should review. All third-party services and protocols are made available to you "AS IS," and your use of them is at your own risk.
10. Intellectual Property
10.1 Ownership
The Service, including the Flowlex application, website, software, design, text, graphics, logos, trademarks, trade names, and all related intellectual property (excluding third-party and open-source components, and excluding the on-chain protocols), is owned by Flowlex or its licensors and is protected by intellectual-property and other laws. All rights not expressly granted are reserved.
10.2 Limited License
Subject to your compliance with these Terms, Flowlex grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own lawful, personal, non-commercial use. You may not copy, modify, distribute, sell, lease, sublicense, create derivative works from, or otherwise exploit the Service or any part of it, except as expressly permitted by these Terms or applicable law.
10.3 Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant Flowlex a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate it without obligation or compensation to you.
11. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLOWLEX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS (THE "FLOWLEX PARTIES") DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, THE FLOWLEX PARTIES DO NOT WARRANT THAT: (a) the Service will be uninterrupted, secure, error-free, or available at any particular time or location; (b) any defects will be corrected; (c) the Service or any servers or content are free of viruses or harmful components; (d) any information, estimate, calculation, projection, quote, or data provided through the Service is accurate, complete, current, or reliable; or (e) any transaction will be executed, confirmed, or result in any particular outcome.
YOU ACKNOWLEDGE THAT THE SERVICE IS A NON-CUSTODIAL INTERFACE TO INDEPENDENT, DECENTRALIZED PROTOCOLS AND BLOCKCHAINS THAT FLOWLEX DOES NOT CONTROL, AND THAT YOUR USE OF THE SERVICE AND OF THOSE PROTOCOLS IS AT YOUR SOLE RISK. Some jurisdictions do not allow the exclusion of certain warranties; in such cases, the above exclusions apply to the fullest extent permitted by law.
12. Limitation of Liability and Indemnification
12.1 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ANY OF THE FLOWLEX PARTIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR DIGITAL ASSETS (including any loss arising from price volatility, impermanent loss, smart-contract or bridge failure or exploit, failed or delayed transactions, gas fees, oracle or keeper behavior, loss of keys, or third-party services), WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT THE FLOWLEX PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE FLOWLEX PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (a) THE TOTAL FEES YOU PAID TO FLOWLEX FOR THE SERVICE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) USD $100.
THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND FLOWLEX. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, the Flowlex Parties' liability is limited to the fullest extent permitted by law.
12.2 Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Flowlex Parties from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of or access to the Service; (b) your violation of these Terms or any applicable law; (c) your violation of any third-party right, including intellectual-property or privacy rights; (d) any transaction you initiate or authorize; or (e) your tax obligations. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with us.
13. Modifications, Suspension, Termination, and Account Deletion
13.1 Changes to the Service
We may modify, update, suspend, or discontinue the Service (or any part or feature of it) at any time, with or without notice, to the extent permitted by law. Because the Service is a non-custodial interface, discontinuing it does not affect your ownership of assets you control on-chain, which you may continue to manage directly through the underlying protocols or other compatible tools.
13.2 Changes to These Terms
We may revise these Terms from time to time. When we do, we will update the "Last updated" date and, where appropriate, provide additional notice. Changes are effective when posted (or on any later stated effective date). Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service.
13.3 Suspension and Termination
We may, in our reasonable discretion and to the extent permitted by law, suspend or terminate your access to the Service (in whole or in part) at any time, including if we believe you have violated these Terms, engaged in prohibited or unlawful conduct, or created risk or legal exposure for Flowlex or others. Termination does not affect your control of your own wallet or on-chain assets.
13.4 Account Deletion and Privacy
You may stop using the Service at any time. You may request deletion of your Flowlex account and associated off-chain data using the in-app account-deletion option, and as further described in our Privacy Policy. Please note: data recorded on public blockchains is outside Flowlex's control and cannot be deleted by us. Deleting your account does not delete or reverse any on-chain transactions or remove your control over your own wallet.
13.5 Survival
Sections that by their nature should survive termination (including Sections 3, 4, 7, 10, 11, 12, 14, 15, and 16) will survive.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the jurisdiction in which the operator of Flowlex is established, without regard to its conflict-of-laws principles, except to the extent mandatory consumer-protection laws of your place of residence provide otherwise.
14.2 Informal Resolution
Before bringing a formal proceeding, you agree to first contact us at support@flowlex.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days.
14.3 Dispute Resolution
If a dispute cannot be resolved informally, it will be resolved by the courts or other competent dispute-resolution bodies having jurisdiction under applicable law. Nothing in these Terms limits the right of either party to seek urgent injunctive or equitable relief where available.
14.4 Limitation Period
To the extent permitted by applicable law, any claim arising out of or relating to the Service or these Terms must be commenced within one (1) year after the cause of action arises, or it is permanently barred.
15. Apple App Store — Licensed Application End User License Agreement (EULA) Rider
This Section applies if you obtained the Flowlex application from the Apple App Store. The following terms supplement and, to the extent of any conflict regarding your use of the application on an Apple device, prevail over the rest of these Terms.
- (a) Acknowledgement. These Terms are concluded between you and Flowlex only, and not with Apple Inc. ("Apple"). Flowlex, not Apple, is solely responsible for the Flowlex application and its content. Your use of the application must comply with the Apple Media Services Terms and Conditions (including the Usage Rules in the App Store Terms of Service).
- (b) Scope of license. The license granted to you for the application is a non-transferable license to use the application on any Apple-branded products that you own or control, as permitted by the Usage Rules, except that the application may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing, where applicable.
- (c) Maintenance and support. Flowlex is solely responsible for providing any maintenance and support services for the application, as specified in these Terms or as required by applicable law. Apple has no obligation whatsoever to furnish any maintenance or support services for the application.
- (d) Warranty. To the maximum extent permitted by applicable law, Apple has no warranty obligation with respect to the application. In the event of any failure of the application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the application to you; to the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the application. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are the sole responsibility of Flowlex.
- (e) Product claims. Flowlex, not Apple, is responsible for addressing any claims by you or any third party relating to the application or your possession and/or use of the application, including: (i) product-liability claims; (ii) any claim that the application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer-protection, privacy, or similar legislation, including in connection with the application's use of any account-abstraction or wallet frameworks. These Terms do not limit Flowlex's liability to you beyond what is permitted by applicable law.
- (f) Intellectual-property claims. In the event of any third-party claim that the application or your possession and use of the application infringes that third party's intellectual-property rights, Flowlex, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual-property infringement claim.
- (g) Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
- (h) Developer contact. Questions, complaints, or claims regarding the application should be directed to Flowlex at support@flowlex.com.
- (i) Third-party beneficiary. You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
16. General Provisions
- 16.1 Entire Agreement. These Terms, together with our Privacy Policy and any additional rules or terms we publish for specific features, constitute the entire agreement between you and Flowlex regarding the Service and supersede all prior agreements on that subject.
- 16.2 Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be modified or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
- 16.3 No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- 16.4 Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
- 16.5 No Partnership. Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship between you and Flowlex.
- 16.6 Force Majeure. Flowlex is not liable for any failure or delay caused by events beyond its reasonable control, including blockchain network failures or congestion, third-party protocol failures, outages, cyberattacks, acts of government, or other force-majeure events.
- 16.7 Notices. We may provide notices to you through the Service, by email, or by posting on https://flowlex.com. You may contact us as set out in Section 17.
- 16.8 Language. These Terms are drafted in English. Any translation is provided for convenience only; in the event of a conflict, the English version controls, except where prohibited by applicable law.
